These Terms of Use (“Terms”) govern your access to and use of ManiBay, including manibay.com, localized ManiBay markets, user accounts, listings, communications, marketplace tools and related services. By accessing or using ManiBay, you agree to these Terms. If you do not agree, do not use the platform.

1. What ManiBay is

ManiBay is a multi-category marketplace where users and businesses may discover, publish and respond to listings involving real estate, classified ads, vehicles, yachts and boats, products, professional services, jobs and CVs, tours and other permitted categories. Unless ManiBay expressly states otherwise for a specific service, ManiBay provides the platform and is not the buyer, seller, landlord, tenant, employer, employee, service provider, traveler, tour operator or other party to a transaction between users.

2. Eligibility and accounts

You must be legally capable of entering into a binding agreement under the laws applicable to you. You are responsible for providing accurate account information, protecting your login credentials and all activity performed through your account. You may not impersonate another person or business, create accounts for fraudulent or abusive purposes, or use another user’s account without permission.

3. Your responsibility for listings and uploaded content

You are solely responsible for every listing, image, document, description, price, location, message, profile detail and other content you upload, submit, publish or transmit through ManiBay (“User Content”). By submitting User Content, you represent and warrant that:

the content is accurate to the best of your knowledge and is not intentionally false, misleading or deceptive;
you own the content or have all rights, licenses, permissions and authorizations necessary to use and publish it;
your content and the underlying goods, property, services, employment opportunities or other offers comply with all applicable laws, regulations, licensing requirements and third-party rights;
your content does not infringe intellectual property, privacy, publicity, contractual or other rights of any person;
you are legally entitled to sell, rent, advertise, offer or otherwise deal with the item, property, service or opportunity described; and
you will not use ManiBay to facilitate unlawful, fraudulent, deceptive, abusive or harmful activity.

4. Listing review, approval and moderation

Listings may be checked by automated systems, manual review or both before they are published and may also be reviewed again after publication. Submission of a listing does not guarantee approval or publication. ManiBay may, in its discretion and to the extent permitted by law, reject, delay, limit, edit for formatting, unpublish, suspend or remove any listing or other User Content that appears to violate these Terms, applicable law, marketplace rules, safety standards or the rights of others.

ManiBay may also request additional information or verification before approving or continuing to display a listing. Our review systems are intended to support marketplace quality and safety, but approval does not mean that ManiBay guarantees, verifies or endorses the legality, accuracy, ownership, quality, safety or authenticity of a listing or its advertiser.

5. Account suspension, termination and bans

ManiBay may restrict features, suspend or terminate accounts, remove listings, block devices or identifiers, or permanently ban users when we reasonably believe there has been fraud, repeated rule violations, unlawful activity, abuse, threats, harassment, manipulation, spam, attempts to bypass moderation, use of multiple accounts to evade enforcement, or conduct that creates legal, security or reputational risk for ManiBay or its users. Where appropriate and legally permitted, enforcement may occur without prior notice.

6. Prohibited use and prohibited content

You may not use ManiBay to publish, promote, request, sell, rent or facilitate content, goods or services that are unlawful or prohibited by applicable law or ManiBay rules. Prohibited conduct includes, without limitation:

fraudulent, deceptive, fake or materially misleading listings;
stolen, counterfeit, unlawfully obtained or infringing goods or content;
goods, services or activities that require a license or authorization that you do not possess;
content that promotes violence, threats, harassment, exploitation, discrimination prohibited by law, or unlawful activity;
malware, phishing, credential theft, spam, scraping, automated abuse or attempts to interfere with platform security;
publication of another person’s sensitive personal information without lawful authority;
manipulation of reviews, search results, pricing, traffic, accounts or marketplace metrics;
circumvention of moderation, restrictions, suspensions or bans; and
any use that violates intellectual-property, consumer-protection, housing, employment, privacy, sanctions, export-control or other applicable laws.

7. Transactions between users

Users are responsible for evaluating listings, counterparties and transaction terms before proceeding. You should verify identity, ownership, condition, licensing, documentation, price, payment terms and other important facts as appropriate. For high-value transactions such as real estate, vehicles or yachts, users should perform appropriate due diligence and obtain independent professional advice when needed.

Except where ManiBay expressly provides a specific paid, booking, agency or transaction service, agreements are made directly between users. ManiBay does not guarantee that a user will complete a transaction, pay an amount owed, deliver an item, provide a service, honor a booking or perform as promised.

8. Real estate and agency services

Users may browse and publish real-estate listings independently. Where ManiBay or an affiliated agency expressly agrees to provide real-estate agency or brokerage-related assistance, additional terms, mandates, commissions, disclosures or local legal requirements may apply. Marketplace listings alone do not create an agency, brokerage, fiduciary or representation relationship between ManiBay and a user.

9. Jobs, CVs and professional services

Employers and service providers are responsible for the legality and accuracy of opportunities they publish, including compliance with applicable employment, licensing, anti-discrimination and professional rules. Applicants and customers are responsible for independently evaluating employers, candidates and providers. ManiBay does not guarantee employment, qualifications, licensing, performance or suitability.

10. Tours, bookings and third-party services

Tours, travel services, reservations and other bookable services may be offered by ManiBay, affiliates or independent third parties depending on the listing. Specific booking, cancellation, payment and supplier terms shown during the relevant transaction may apply in addition to these Terms.

11. Payments, deposits and delivery

Payment, deposits, delivery, shipping, handover, booking and other transaction arrangements depend on the category and specific service. Where payments are processed by an external provider, that provider’s terms and privacy practices may also apply. Unless ManiBay expressly states that it holds or guarantees funds for a specific transaction, users should not assume that ManiBay acts as an escrow service or guarantees payment or delivery.

12. License to User Content

You retain ownership of your User Content. By submitting it to ManiBay, you grant ManiBay a non-exclusive, worldwide, royalty-free, transferable and sublicensable license, for as long as reasonably necessary to operate and promote the platform, to host, store, reproduce, format, adapt for technical display, translate, distribute, display and make available that content in connection with ManiBay and its services. This license ends when the content is deleted from our active systems, except for reasonable backups, legal retention, evidence of enforcement or content already lawfully shared or indexed.

13. Intellectual property

ManiBay’s name, branding, software, design, databases, interfaces, graphics and other platform materials are owned by or licensed to ManiBay and are protected by applicable intellectual-property laws. Except as expressly allowed, you may not copy, reverse engineer, reproduce, distribute, exploit or create derivative works from ManiBay’s proprietary materials.

14. Reports and intellectual-property complaints

If you believe a listing violates your rights or applicable law, you may report it through available reporting tools or contact us. ManiBay may request supporting information and may remove or restrict content while a complaint is reviewed. Knowingly submitting false or abusive reports is prohibited.

15. Platform availability and changes

ManiBay may add, change, suspend or discontinue features, categories, markets or services. We do not guarantee uninterrupted, error-free or permanent availability of the platform or any listing. Listings may expire, be removed, become unavailable or change without notice.

16. No warranties

To the fullest extent permitted by applicable law, ManiBay and its services are provided on an “as is” and “as available” basis. ManiBay does not warrant the accuracy, completeness, legality, authenticity, quality, safety or availability of user listings, counterparties, goods, properties, services, jobs, candidates, tours or third-party content. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

17. Limitation of liability

To the fullest extent permitted by applicable law, ManiBay and its affiliates, officers, employees, contractors and service providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, lost profits, lost opportunities, loss of data, reputational loss, or losses arising from transactions between users, reliance on listings, third-party conduct, unauthorized account access, service interruption or content removal. Where liability cannot be excluded, it will be limited to the minimum extent permitted by applicable law.

18. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless ManiBay and its affiliates, officers, employees and agents from claims, liabilities, damages, losses and reasonable costs arising from or related to your User Content, your transactions, your violation of these Terms, your violation of law, or your infringement of another person’s rights.

19. Privacy

Your use of ManiBay is also subject to our Privacy Policy. By using the platform, you acknowledge that personal information may be processed as described there.

20. Changes to these Terms

We may update these Terms when the marketplace, services, risks or legal requirements change. The updated Terms will be published with a revised effective date. Continued use of ManiBay after updated Terms take effect constitutes acceptance to the extent permitted by applicable law.

21. Governing law and disputes

Applicable governing law, mandatory consumer protections and dispute rules may depend on your location, the relevant ManiBay market and the nature of the service or transaction. Nothing in these Terms removes rights that cannot be waived under applicable law.
